Indiana PA Web Design

Terms of Service

Last Updated: October 22, 2026

These Terms of Service govern website design, development, hosting and related services provided by Indiana PA Web Design (“we,” “us” or “our”). By accepting a quotation or authorizing us to begin work, you (“the client” or “you”) agree to these terms.

Your individual quotation may contain additional terms specific to your project. Where a quotation expressly varies these Terms of Service, the agreed terms in the quotation will apply to that specific matter.

1. Website Design and Development

1.1 Standard Website Packages

Unless otherwise specified in your quotation, our standard website packages include:

  • Home page
  • About page
  • Contact page
  • Up to two additional pages, such as Services, Products/Pricing, Gallery or Portfolio.

A static Products/Pricing page displays information about products or services but does not include shopping cart functionality or online purchasing.

Landing pages and one-page websites are limited to the single page specified in the quotation. Additional pages are not included unless expressly agreed upon.

1.2 E-commerce Websites

Unless otherwise specified in the quotation, e-commerce website packages include the following page types:

  • Home
  • About
  • Contact
  • Shop
  • Product categories
  • Individual product pages.

The client must provide the anticipated number of products and categories required before the final quotation is prepared. Pricing and delivery estimates are based on the agreed scope, including the number of products, categories, product variations and other requirements.

Additional products, categories, product entry or functionality beyond the agreed scope may incur additional charges.

1.3 Website Platform

Unless otherwise agreed in writing, websites are developed using WordPress, with WooCommerce for e-commerce functionality.

Alternative platforms, including Shopify or other website systems, may be used when specifically requested and agreed upon before the project begins.

1.4 Features and Functionality

Quotations generally cover the agreed website design, development and static content unless specific additional functionality is expressly included.

Clients must identify any special requirements before the final quotation is issued. These may include:

  • Online payment gateways and PayPal buttons.
  • Donation or fundraising functionality.
  • Integration with Google, Facebook or other review platforms.
  • External APIs, third-party applications or software integrations.
  • Booking systems, membership areas or subscription functionality.
  • Automated product feeds, inventory synchronization or custom integrations.
  • Advanced forms, calculators or other custom features.

We will assess the requested functionality and include agreed requirements in the quotation where possible. Features not included in the approved quotation may be subject to additional charges and revised delivery estimates.

Changes to requirements after the quotation has been accepted may also require additional development work, third-party services or subscriptions.

1.5 Third-Party Services and Products

Certain website features may require third-party software, plugins, subscriptions, accounts or paid services.

Where a requested feature may require additional third-party costs, we will advise the client of this possibility before the final quotation where reasonably foreseeable. In some cases, the exact requirements or costs may only become clear during development.

Additional third-party costs may also arise when a client changes their requirements or provides new information after the quotation has been accepted.

Where additional costs become necessary, we will communicate the requirement and any known costs before proceeding with additional expenditure or work that falls outside the agreed scope.

Third-party subscriptions, licenses and services are generally the client’s responsibility unless expressly included in the quotation.

2. Project Timelines and Client Responsibilities

2.1 Estimated Completion Time

Our typical website development timeframe is approximately two to six weeks, depending on the size and complexity of the project.

Smaller websites may be completed in approximately two weeks, while larger e-commerce websites, websites containing numerous products or projects requiring custom functionality may take longer. Timelines may also be affected by our existing workload and fluctuations in order volume.

We will generally provide an estimated completion timeframe during the quotation process. This timeframe is an estimate only and is not a guaranteed completion date unless expressly agreed otherwise in writing.

2.2 Delays Caused by the Client

The client is responsible for providing all information and materials reasonably required for the project, including text, images, logos, product information, credentials, approvals and other requested content.

The client is also responsible for responding to questions, reviewing previews and providing feedback within a reasonable timeframe.

Delays in supplying materials, providing feedback, approving work or responding to communications may extend the project timeline. Where such delays occur, the estimated completion date may be adjusted accordingly.

2.3 Delays Outside Our Control

We will make reasonable efforts to complete projects within the estimated timeframe. However, delays may occur due to circumstances outside our reasonable control, including third-party service outages, technical issues, hosting provider problems, unexpected technical complications or unusually high project volumes.

We will communicate material delays to the client where reasonably practicable.

3. Quotations, Deposits and Payments

3.1 Quotations

Quotations are based on the information and requirements provided by the client at the time of preparation.

The client is responsible for ensuring that the requirements supplied for the quotation are accurate and sufficiently detailed. If the requirements change or additional work is requested, the original quotation may need to be revised.

A quotation becomes an agreed project scope when accepted by the client. Acceptance may be provided in writing, including by email.

3.2 Deposit

A deposit of 50% of the quoted project price is required before work begins, unless otherwise agreed in writing.

The deposit allows us to allocate time and resources to the project.

3.3 Final Payment

Once the initial website has been developed and made available for client review, the client may request changes in accordance with Section 4.

The remaining balance is payable once the agreed changes have been completed and before the website is released, made publicly accessible or transferred to the client’s hosting environment, as applicable.

The website will not be released for unrestricted public use, and administrative or hosting login credentials will not be supplied, until payment has been received in full.

3.4 Late Payments

Where payment is overdue, we reserve the right to pause work, withhold website access, delay launch or suspend the release or transfer of the website until outstanding amounts have been paid.

Any resulting delays may affect the project timeline.

Any late fees or interest will only be charged where agreed in writing and permitted by applicable law.

4. Website Preview, Revisions and Approval

4.1 Website Preview Process

Once the initial website has been developed, the client will receive an opportunity to preview the website and request changes before final payment.

The preview process depends on the type of project and hosting arrangement.

New websites hosted by Indiana PA Web Design: The website may be placed on the client’s own domain with password protection enabled. This allows the client to review the website before it is publicly accessible.

Redesigns or rebuilds of existing websites: We will generally provide a preview link on a separate domain or development environment. Once the client has approved the changes and full payment has been received, we will arrange to move the website to the client’s domain or hosting environment.

Websites hosted elsewhere: A preview link will generally be provided. The website will be transferred to the client’s hosting environment once the agreed work is complete and full payment has been received.

We aim to make the review and transfer process as smooth as possible. However, moving a website between hosting environments or changing domain settings may result in temporary downtime or technical interruptions. We will make reasonable efforts to minimize these disruptions.

4.2 Revisions and Changes

We aim to accommodate reasonable client feedback and make every effort to ensure that the completed website meets the requirements agreed upon in the quotation.

Changes that fall within the original agreed scope will generally be accommodated during the review process.

However, we reserve the right to decline or charge for changes that:

  • Fall outside the original quotation or agreed scope.
  • Introduce new features, functionality or additional pages.
  • Require substantial redevelopment or a change in the original design direction.
  • Are repetitive or excessive, including repeated reversals of previously approved decisions.
  • Result from new requirements or preferences introduced after the relevant work has already been completed and approved.

Where a requested change falls outside the agreed scope, we will advise the client if additional charges or time are required before proceeding.

We do not impose a fixed number of revisions on every project. The intention is to accommodate reasonable feedback while ensuring that the project can be completed fairly and efficiently.

4.3 Client Approval

The client is responsible for reviewing the website carefully before providing final approval and payment.

This includes checking the website’s text, images, contact details, product information, pricing, links and other supplied content for accuracy.

Any errors or omissions identified during the review process should be reported before final payment and release of the website.

5. Project Inactivity, Abandonment and Cancellations

5.1 Client Inactivity

The client is responsible for remaining in communication with us throughout the project and responding to requests for information, materials, feedback or approval.

If we receive no response or meaningful communication from the client for a continuous period of 90 days, despite reasonable attempts to contact them, we reserve the right to consider the project abandoned and close the project.

Where reasonably practicable, we will send a final written notice before closing the project, advising the client of the impending closure and giving them an opportunity to respond.

If the project is closed due to inactivity:

  • Amounts paid may be retained to cover work completed, time allocated and costs incurred, to the extent permitted by applicable law.
  • We will have no obligation to continue or complete the project under the original timeframe or quotation.
  • Any future request to resume the project may require a new quotation, revised pricing and a new estimated completion timeframe.
  • Unreleased work remains subject to the ownership and usage provisions in Section 7.

The client acknowledges that prolonged inactivity can affect scheduling, resource allocation and the cost of completing a project at a later date.

5.2 Client Cancellation

If a client wishes to cancel a project after work has begun, they must notify us in writing.

We will assess the work completed, resources committed and costs incurred up to the cancellation date. Any refund of amounts paid will be considered on a case-by-case basis, taking into account the circumstances, the stage of the project and applicable law.

We reserve the right to retain amounts reasonably attributable to work completed and non-refundable costs incurred, to the extent permitted by law.

5.3 Refund Requests

Website design and development involves time, planning, customization and work specific to the client’s requirements. For this reason, refunds are not automatic simply because a client changes their mind or decides not to proceed after work has begun.

However, we recognize that circumstances may arise where a reasonable resolution cannot be reached. In such cases, we may consider a partial or full refund at our discretion, subject to applicable law and any other rights the client may have.

Where a disagreement arises, we will make reasonable efforts to resolve the matter through communication and an opportunity to address legitimate concerns.

Nothing in this section excludes any refund or other rights that cannot legally be excluded.

6. Domain Names and Hosting

6.1 Domain Registration Is Separate

A domain name and website hosting are two separate services.

A domain name is the website address, such as example.com. Hosting is the service that stores the website files and makes the website accessible online.

Unless expressly included in the quotation, domain registration, domain renewal and domain-related fees are not included in website design or hosting charges.

Clients may register and manage their own domain names through a domain registrar of their choice. Where we assist with domain registration or renewal, the applicable costs and arrangements will be communicated to the client.

Clients are responsible for ensuring that their domain registration remains active and that renewal fees are paid on time, unless we have expressly agreed to manage those responsibilities.

6.2 Hosting Services

Hosting is only included where it is expressly stated in the quotation or a separate hosting agreement.

Where we provide hosting, the applicable hosting fees, billing arrangements and renewal terms will be communicated separately.

Our hosting service is intended primarily to provide a convenient hosting option for small businesses. Unless expressly agreed otherwise, it is not a guarantee of uninterrupted service, enterprise-level infrastructure or any particular performance level.

We will make reasonable efforts to maintain the hosting services we provide but cannot guarantee uninterrupted availability or prevent all technical issues, outages, security incidents or third-party infrastructure failures.

6.3 Website Updates and Ongoing Maintenance

Unless expressly included in a quotation, hosting agreement or separate maintenance agreement, website design and hosting do not include a contractual entitlement to ongoing website updates, content changes, technical support or maintenance.

We may, at our discretion, assist existing clients with occasional minor changes or adjustments as a courtesy. Such assistance is not guaranteed, is subject to availability and does not establish an ongoing obligation to provide free updates.

Examples of minor changes may include updating contact details, correcting a small amount of text or making a simple content adjustment.

Larger changes, new pages, design revisions, additional functionality, substantial content changes and other work beyond a minor adjustment may require a separate quotation and additional payment.

Clients who require regular website updates or ongoing maintenance may request a separate maintenance agreement. Clients who frequently update their own prices, products or other content may also request login access and basic instructions to manage suitable updates themselves.

We will confirm any applicable charges before undertaking work that falls outside the agreed services.

6.4 Existing Websites and Email Services

Clients moving an existing website to our hosting must inform us before the transfer if they use email addresses associated with their domain, such as info@example.com.

Changing domain nameservers or DNS records may affect existing email services if the necessary email settings are not preserved or recreated.

The client is responsible for identifying existing email accounts, email hosting providers and other services connected to their domain before migration.

If email migration, DNS configuration or assistance with existing email services is required, this must be discussed in advance. Additional work or third-party charges may apply.

Clients who require a backup of their existing website, database, email accounts or other data must request this before migration begins. We will confirm what can be backed up and whether additional charges apply.

We cannot guarantee the recovery of data that was not backed up or that was unavailable before the migration.

6.5 Moving Away From Our Hosting

If a client decides to move their website to another hosting provider, they are responsible for arranging suitable alternative hosting and any associated domain or third-party services.

We will provide reasonable assistance with transferring the website where agreed, subject to the payment of any outstanding amounts and any applicable transfer fees.

Additional migration work may incur charges if it falls outside the original hosting agreement.

7. Website Ownership, Content and Licenses

7.1 Client-Supplied Content

The client is responsible for ensuring that all text, images, logos, videos, product information and other materials supplied for the website may lawfully be used for the intended purpose.

The client confirms that they have obtained any necessary permissions, licenses or consents for such materials.

We are not responsible for claims arising from the client’s unauthorized use of third-party content or from inaccurate, misleading or unlawful information supplied by the client.

7.2 Website Ownership

Once the client has paid all amounts due for the project in full, the client will be entitled to use the completed website for their business, subject to the terms of any applicable third-party licenses and the ownership of any pre-existing materials.

Third-party themes, plugins, fonts, stock images, software, libraries and other licensed materials remain subject to their respective license terms. Full payment does not automatically transfer ownership of those materials to the client.

Unless otherwise agreed in writing, we retain ownership of our pre-existing code, reusable components, tools, methods and development resources. The client receives the rights necessary to use the completed website as agreed.

Unpaid work, draft designs and unreleased website versions may not be used, published, copied or transferred without our written permission.

7.3 Portfolio Use

Unless the client requests otherwise in writing, we may identify the completed website in our portfolio and use screenshots or links to the publicly available website to demonstrate our work.

We will not intentionally publish confidential client information as part of our portfolio.

Clients who do not wish their website to be featured in our portfolio may notify us in writing.

8. Website Content, Compliance and Business Results

8.1 Accuracy of Content

The client is responsible for the accuracy and completeness of the information published on their website, including business details, prices, product descriptions, terms, policies and legal notices.

Unless expressly included in the quotation, we do not provide legal, accounting, regulatory or specialist compliance advice.

Clients are responsible for ensuring that their website meets the legal and regulatory requirements applicable to their business, including any necessary privacy policy, cookie notices, accessibility measures, e-commerce terms or industry-specific disclosures.

8.2 No Guarantee of Traffic, Sales or Rankings

A website provides an online presence and a platform through which a business can communicate with customers. However, purchasing a website does not guarantee an increase in visitors, leads, enquiries, sales, revenue, search engine rankings or business growth.

Results depend on many factors beyond our control, including competition, market conditions, pricing, products, advertising, search engine algorithms, customer demand and the client’s ongoing marketing activities.

Unless expressly included in a separate agreement, website design does not include ongoing SEO services, advertising management, content marketing or other activities intended to generate traffic or sales.

We do not guarantee specific business results from the website.

9. Third-Party Platforms and Services

Websites may rely on third-party services, including hosting providers, payment processors, email services, social media platforms, plugins, APIs and external software.

We are not responsible for changes, interruptions, failures, pricing changes, account suspensions or discontinued features caused by third-party providers.

Where a third-party service is required for a website feature, its availability and continued operation may depend on the client maintaining an active account, subscription or license.

The client is responsible for complying with the applicable terms of third-party providers and maintaining any accounts required for the continued operation of their website.

10. Website Security, Maintenance and Backups

10.1 Ongoing Maintenance

Unless expressly included in the quotation, a hosting agreement or a separate maintenance agreement, website development does not include ongoing updates, security monitoring, content changes, troubleshooting, plugin maintenance or technical support after completion.

Such services may be requested separately and may incur additional charges.

10.2 Security

We will take reasonable care when developing websites and implementing agreed security measures. However, no website can be guaranteed to be completely secure against hacking, malware, unauthorized access or other security incidents.

Clients are responsible for maintaining secure passwords, protecting their accounts and keeping their software and licenses up to date where these responsibilities fall to them.

Where we provide ongoing hosting or maintenance, the precise responsibilities for updates, backups and security measures will depend on the applicable service arrangement.

10.3 Backups and Data Loss

Clients should maintain appropriate backups of their website files, databases and other important information.

Unless expressly included in a hosting or maintenance agreement, we do not guarantee that backups will be created, retained or recoverable.

Where we provide backups as part of an agreed service, we will take reasonable care in carrying out that service but cannot guarantee recovery in every circumstance.

11. Privacy and Information Sharing

To deliver our services, we may need to collect and use information supplied by the client, including contact details, business information, website content, account information and technical details.

The client acknowledges that relevant contact details, project information and materials may be shared with our designers, developers, contractors or other service providers who assist in delivering the agreed services.

We will take reasonable steps to limit such sharing to information relevant to the work being performed and expect those assisting us to handle client information appropriately.

Information may also be shared with hosting providers, software providers or other third parties where reasonably necessary to deliver the services.

We will handle personal information in accordance with applicable privacy laws and our privacy policy.

Clients are responsible for ensuring that any personal information they collect through their own websites is handled lawfully and that any required privacy notices, consents and data protection measures are in place.

12. Limitation of Liability

To the extent permitted by applicable law, Indiana PA Web Design will not be liable for indirect, incidental, special or consequential losses arising from the use of a website or our services, including loss of profits, revenue, business opportunities or data.

We are not responsible for losses caused by inaccurate information supplied by the client, unauthorized changes made by the client or third parties, third-party service failures, or circumstances beyond our reasonable control.

We will exercise reasonable care and skill in providing our services. Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by law.

Any additional limitation of liability agreed between the parties must be in writing and must comply with applicable law.

13. Suspension and Termination

We reserve the right to pause work or suspend services where the client fails to make required payments, fails to provide essential information, requests unlawful work or materially breaches these terms.

Where reasonably practicable, we will notify the client and provide an opportunity to resolve the issue before suspension or termination.

If a project is terminated, the parties’ outstanding payment obligations, refund considerations and rights to use completed work will be handled in accordance with these terms and any applicable written agreement.

Suspension or termination does not remove the client’s obligation to pay amounts properly due for work completed or authorized expenses incurred.

14. Changes to These Terms

We may update these Terms of Service from time to time.

The version applicable to a project will generally be the version in effect when the client accepts the quotation, unless a later version is expressly agreed in writing or applicable law requires otherwise.

Material changes to ongoing hosting or maintenance arrangements may be communicated to affected clients where appropriate.

15. Governing Law and Disputes

These Terms of Service are intended to be governed by the laws of the Commonwealth of Pennsylvania, United States, unless applicable law requires otherwise.

If a dispute arises, both parties agree to make reasonable efforts to resolve it through good-faith communication before pursuing formal legal proceedings.

Nothing in these terms prevents either party from exercising any rights or remedies available under applicable law.
